1 Dispatch
The rent begins, within Germany one day and two days outside of Germany after of shipment out of Lessor's works in Singen stated on Lessor's truck-, rail- or air waybill.
The minimum term of rental is one week, after seven days we are billing daily.
The rent ends, within Germany one day and two days outside of Germany before the day the Equipment is received at Lessor's works in Singen as stated on Lessee's truck-, rail- or air-waybill.
2 Dispatch
The Equipment is shipped after receipt of the countersigned Rental Contract by Lessor.
By way of exception, Lessor may dispatch the Equipment prior to the receipt of the countersigned Rental Contact. In this case the Rental Contract shall be deemed to be verbally concluded as of the date of order of Lessee.
3 Transport Costs and Risks
Lessee shall bear the cost and risk of transport from and back to Singen.
4 Rentals
The rentals to be paid are indicated in the Rental Contract. Rental fees are based on weekly rates prorated by calendar days. A rental week consists of seven (7) calendar days. Weekends and holidays are not deductible from the rental charges.
Invoices are payable net upon receipt. The rental is billed at the end of each month. In addition, Lessor may issue interim billings.
5 Ownership
The Equipment is, and shall at all times be and remain the sole and exclusive property of Lessor. Lessee shall not assign pledge or mortgage or otherwise dispose of the Equipment without Lessors prior written consent. Lessee shall immediately inform Lessor of any claims raised by third parties with respect to the Equipment.
6 Sub-Lease
Lessee shall be entitled to sub-let the Equipment to third parties.
7 Warranty
Lessee shall inspect the Equipment immediately upon receipt. Unless Lessee immediately gives written notice to Lessor, specifying the alleged defect, the Equipment shall be deemed to have been received in good condition and repair.
Lessor warrants that the Equipment is free from defects.
Defects other than normal wear and tear, i.e. caused by improper handling, storage or shipping by Lessee shall be repaired at Lessee's cost.
Lost material shall be invoiced at list prices valid at the date of invoice.
8 Limitation of Lessor's Liability
The warranties set forth herein are expressly in lieu of any express warranty of any kind and in lieu of any implied warranty, including any warranty of merchantability or fitness for any particular purpose.
Lessor shall not be liable for any loss or damage, directly or indirectly arising from the use of the Equipment, for any incidental, special or consequential damages, such as loss of profit, loss of production, loss of use or loss of contract arising for any reason, including damages resulting from defective design, materials or workmanship or from faulty instructions, and whether such damages are claimed to arise from breach of contract, in tort, the theory of product liability or otherwise; reservation is solely made for Lessor's statutory liability for breach of express representations, wrongful intent, gross negligence or arising from product liability acts.
9 Insurance
Lessee shall be liable for any loss of the Equipment due to burglary, theft or fire. Lessee is advised to take out appropriate insurance against these risks.
10 Surrender
Upon expiration of the agreed or maximum term of the rent Lessee - provided he has not elected to purchase the Equipment - shall return the Equipment duly cleaned on the exterior and packed in the original protective packing to Lessor.
11 Purchase of the Equipment
Lessee shall at all times be entitled to purchase the Equipment.
The coming into force of the purchase agreement shall be subject to Lessee's timely payment of the purchase price.
Up to a maximum of 13 weeks rentals already paid shall be credited to 75% towards the purchase price. In case of purchase, Lessor's General Conditions of Sale shall apply. The term of lease shall be applied towards the warranty period afforded in Lessor's General Conditions of Sale. The purchase price shall be payable 30 days net from the date of invoice.
12 Written Form
The Rental Contract shall not be amended, altered or changed except by written agreement signed by the parties hereto.
13 Applicable Law / Jurisdiction
Our general terms and conditions apply.
The rent shall be subject to German law. Place of venue and place of fulfilment shall be D-78224 Singen.
